In December 2012 the Boards of Directors for St. Elizabeth Medical Center (SEMC) and Faxton St. Luke’s Healthcare (FSLH) signed a Memorandum of Understanding (MOU) to affiliate the two organizations. Since that time the hospitals have been working through the next steps of legal and financial due diligence.
The boards have agreed on the name of the proposed ‘parent organization’ that would govern the two facilities - Mohawk Valley Health System.
The MOU states that the proposed parent organization would be governed by a new Board of Directors comprised of 18 members with equal members from the SEMC board and the FSLH board.
The board work group anticipates that, barring any significant issues, the organizations will be ready to submit a Certificate of Need (CON) application to the New York State Department of Health by the end of summer. Even with the CON submission additional steps will need to occur including satisfactory review by the Federal Trade Commission.
